Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Rankwize website at rankwize.io and the AI visibility monitoring, diagnosis, and optimization service offered by Rankwize ("Rankwize," "we," "us," or "our") (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility and Account

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us promptly at support@rankwize.io if you believe your account has been compromised.

2. The Service

Rankwize monitors how AI answer engines (such as ChatGPT, Perplexity, and Google's AI surfaces) respond to prompts you configure, diagnoses why your pages are or are not being cited, and generates briefs intended to help you improve coverage. The Service depends on third-party AI providers and search-data providers whose availability, behavior, and outputs are outside our control. Outputs are informational and do not guarantee any particular ranking, citation, traffic, or business outcome.

3. Subscriptions, Fees, and Refunds

Paid plans are billed in advance on a monthly or annual cycle through our payment processor, Stripe. Unless otherwise stated at checkout, fees renew automatically at the end of each billing cycle until you cancel. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period and you retain access until then. Except where required by law or expressly stated, fees are non-refundable. We may change plan pricing on notice; new pricing applies to renewals after the notice period.

4. Free Plan and Trials

We offer a free plan and may offer time-limited trials of paid features. Free and trial access is provided "as is," may include usage limits, and may be modified or discontinued at any time. We may decline or terminate free or trial access for users who appear to be abusing it (for example, by creating multiple accounts to evade limits).

5. Acceptable Use

You agree not to:

• Use the Service to violate any law or third party's rights;
• Reverse engineer, decompile, or attempt to extract the source code, models, or scoring logic of the Service, except to the extent applicable law expressly allows it;
• Resell, sublicense, or provide the Service as a hosted offering to third parties without our written agreement;
• Probe, scan, scrape, or interfere with the Service or any related systems, or attempt to bypass authentication, rate limits, or security controls;
• Submit content you do not have the right to submit, including content that infringes intellectual property, violates privacy or publicity rights, or is unlawful, malicious, or harmful;
• Use the Service to generate or distribute spam, deceptive content, or material designed to manipulate AI systems in violation of those systems' terms.

We may suspend or terminate access for violations of these rules or for activity that threatens the security or integrity of the Service.

6. Customer Data

"Customer Data" means the inputs you submit to the Service, including domains, prompts, keywords, configuration, and any data we receive from third-party services you connect (such as Google Search Console). You retain all rights in Customer Data. You grant Rankwize a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create derivative outputs from Customer Data solely to provide and improve the Service for you and to comply with law. We do not use Customer Data to train third-party large language models. You are responsible for ensuring you have the rights and consents needed to submit Customer Data to the Service.

7. Intellectual Property

The Service, including the website, software, scoring methodology, documentation, and all related intellectual property, is owned by Rankwize and protected by applicable law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your subscription. You may use outputs the Service generates from your Customer Data ("Outputs") for your own internal business purposes, including publishing derivative content based on Outputs. Aggregate, de-identified usage data we derive from your use of the Service belongs to Rankwize and may be used to operate, secure, and improve the Service.

8. Third-Party Services

The Service integrates with and depends on third-party services, including AI model providers, search-data providers, and your connected accounts (such as Google Search Console). Your use of those services is governed by their terms, and we are not responsible for their availability, accuracy, or actions. If a third-party service changes its terms, pricing, or availability, the Service may change in response.

9. Service Availability

We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, deploy updates, and modify or discontinue features. We will use reasonable efforts to provide advance notice of material changes that adversely affect paying customers.

10. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE MAKE NO WARRANTY THAT USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR AI VISIBILITY, CITATION, RANKING, TRAFFIC, OR BUSINESS OUTCOME.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKWIZE AND ITS OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. RANKWIZE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO RANKWIZE FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, IN WHICH CASE THEY APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Rankwize from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any third-party right.

13. Term and Termination

These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access for material breach of these Terms, for non-payment, or to comply with law or protect the Service or other users. Sections that by their nature should survive termination (including Sections 6, 7, 10, 11, 12, and 14) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Sedgwick County, Kansas, and you and Rankwize each consent to the personal jurisdiction of those courts. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and, for material changes, notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

16. Miscellaneous

These Terms are the entire agreement between you and Rankwize regarding the Service and supersede prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Rankwize may assign these Terms in connection with a merger, acquisition, or sale of assets.
